On the afternoon of April 24th, DIC Group (HoSE: DIG) successfully held its 2026 Annual General Meeting of Shareholders (AGM) online. All key reports and resolutions were approved with a high level of consensus.
2025: GROWTH BEYOND TARGET, A STRONGER FINANCIAL FOUNDATION
Presenting the report at the meeting, Mr. Nguyen Hung Cuong, Chairman of DIC Group, noted that 2025 marked the company's 35th year of development and reflected a period of strengthening internal capacity and improving operational efficiency.

For fiscal year 2025, DIC Group reported consolidated revenue of VND 4,756.27 billion, reaching 135.9% of its annual target, and consolidated pre-tax profit of VND 824.25 billion, equal to 114.8% of the yearly plan. The parent company's total development investment disbursement for 2025 came to VND 2,026.38 billion, comprising VND 1,864.2 billion in project investment and VND 162.18 billion in financial investment.

A key highlight of the 2025 financial results was the company's decisive and effective restructuring effort. DIC completed early redemption of VND 800 billion in bonds at the end of 2025, followed by early redemption of the remaining VND 800 billion in late January 2026, bringing its outstanding bond balance down to zero. Notably, the Group's standing in the financial market also improved after a credit rating agency upgraded its rating from BB+ to BBB with a stable outlook at the end of 2025.

Notably, the Group successfully completed a share offering of 150 million shares to existing shareholders, raising VND 1,800 billion. The issuance was carried out in line with the approved plan, with proceeds allocated to key projects and financial restructuring: VND 600 billion for the C4 block of the CSJ project, VND 600 billion for the Vi Thanh residential and commercial development, and VND 600 billion for bond redemption. Following the offering, DIC Group's charter capital officially rose to VND 7,964 billion, laying a solid financial foundation for its next phase of growth.
2026: BALANCING GROWTH WITH FINANCIAL SECURITY
Speaking at the meeting, Chairman Nguyen Hung Cuong stated: "While geopolitical developments remain difficult to predict with precision, our decisive efforts over the past year in divesting assets, transferring projects, and proactively cutting operating costs by paying down bonds and loans have given DIC Group a very strong financial buffer. This puts the Group in a fully proactive position when it comes to compensation and site clearance, as well as executing our investment plans and breaking ground on projects according to schedule."
The AGM approved the 2026 business plan, with the following key targets: parent company revenue of VND 2,600 billion; consolidated revenue of VND 3,000 billion; parent company pre-tax profit of VND 650 billion; consolidated pre-tax profit of VND 600 billion; and parent company development capital investment of VND 4,371.54 billion, up 115.7% from 2025 actual figures.

For 2026, DIC Group plans to prioritize completing legal procedures for its projects, accelerating construction at projects that are ready to proceed, and focusing on compensation and site clearance to build up a clean land bank for long-term development. To secure revenue, the company will concentrate sales efforts on its key projects, including the New Nam Vinh Yen Urban Area (Phu Tho), the Vi Thanh residential and commercial development (Can Tho), and the CSJ - C4 Complex (Ho Chi Minh City).
Shareholders also approved a 2025 dividend payout of 6% in shares, corresponding to the issuance of an additional 47,785,871 shares.

During the Q&A session, when asked about competitive pressure from a growing number of large-scale projects entering the market, Chairman Nguyen Hung Cuong said the market's absorption capacity depends primarily on project location and pricing that matches genuine demand.
According to the Group's leadership, DIC's projects are located in favorable areas: in the north, projects sit at the gateway to Hanoi, while in the south, the portfolio is concentrated in Ho Chi Minh City, Dong Nai, and Can Tho, localities with strong potential for connectivity and infrastructure development. In particular, plans for Dong Nai to become a centrally governed city are expected to further improve regional connectivity, supporting the market's long-term outlook. On this basis, DIC will continue to focus on developing products suited to buyers' needs and affordability, rather than chasing supply volume for its own sake.
On first-quarter 2026 results, CEO Nguyen Quang Tin said: "In Q1 2026, the parent company's revenue is estimated at VND 68 billion, up 60% year-on-year, with after-tax profit of nearly VND 20 billion. Consolidated results will be announced shortly, once data from subsidiaries has been compiled."
The 2026 AGM concluded with strong shareholder consensus, reflecting confidence in the strategic direction and management capability of DIC Group's Board of Directors and leadership team. The key resolutions passed at the meeting, together with the Group's consistent pursuit of sustainable development, will continue to provide a stable foundation for DIC Group to deliver on its 2026 business plan.
